The Supreme Court of Canada unanimously held that a proposed federal Securities Act was invalid under Parliament’s general trade and commerce power, but did not rule out the possibility of a cooperative approach recognizing the essentially provincial nature of securities regulation while allowing Parliament to deal with genuinely national concerns.
